These General Terms and Conditions (‘Terms’) govern the use of Teamwide, the visual collaboration platform at teamwide.app. The provider and contracting party (‘Teamwide’, ‘we’ or ‘us’) is:
d1 group, e-business GmbHZwischen den Hölzern 1a
59514 Welver
Deutschland
The German version of these Terms is authoritative. Translations are provided for ease of understanding. In the event of discrepancies, the German version prevails.
1. Scope
These Terms apply to all contracts for Teamwide, including personal accounts, workspaces, boards, real-time collaboration, sharing, file uploads, exports, API and MCP interfaces, and enabled AI agents.
Teamwide is intended exclusively for entrepreneurs within the meaning of section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Any different or additional customer terms apply only if we have expressly agreed to them in text form.
Individual agreements, offers and service descriptions take precedence over these Terms. The Acceptable Use Rules form part of the contract.
2. Definitions
- Customer means the natural or legal person who creates an account or workspace or uses Teamwide under an offer.
- Workspace means the separate tenant environment assigned to the customer for administration and data.
- Services means the Teamwide functions enabled for the customer.
- Customer data means all data supplied by or on behalf of the customer, including contact details, boards, text, notes, shapes, images, files, comments, shares, invitations and agent chats.
- Credentials include passwords, API keys, OAuth tokens, sharing passwords and recovery codes.
3. Formation of the contract
A contract is formed when the customer creates an account and accepts these Terms, accepts an offer from us, or uses the services with our consent. Information on the website does not constitute a binding offer unless expressly identified as such.
The customer must provide accurate and complete information when registering and ordering and must keep it up to date. We may reject registrations and orders for objective reasons, particularly where identity is unclear, there are security concerns, capacity is insufficient or there is an evident risk of misuse.
4. Teamwide services
Teamwide provides an online workspace for creating, editing, sharing and exporting visual boards. The specific functions available depend on the selected plan, any individual offer and the current product documentation.
A personal account is free and assigned to one person. That person can create and edit boards; recipients of personal board shares receive read-only access. A paid workspace enables collaborative editing and includes up to 20 or 50 members, depending on the selected plan. Billing is at a flat rate per workspace, not per person. The selected member limit can only be increased by switching to an appropriate plan.
We may develop the services and make reasonable technical changes provided the agreed principal purpose is preserved and the change is reasonable for the customer. Additional services such as consulting, migration or individual configuration require a separate agreement.
5. Customer obligations
The customer is responsible for the lawfulness of their use, content, sharing and integrations. This includes, in particular:
- a valid legal basis for processing and disclosing all personal data supplied;
- the necessary rights to uploaded or created content and files;
- careful granting and timely revocation of invitations, roles, board permissions and public sharing links;
- the lawfulness of board content, comments, links, agent instructions and tool calls;
- appropriate data backups and timely retrieval of data needed beyond documented retention periods; and
- cooperation with security, misuse and legal investigations.
Without our prior consent, the customer may not resell the services or offer them to third parties as a standalone collaboration service. Intended use by employees, connected applications and commissioned service providers remains permitted; their actions are attributable to the customer.
6. Accounts, workspaces and security
The customer may only use authorised users, must assign roles according to the access required and must protect all credentials against unauthorised access. Credentials may not be published or shared by multiple people unless the relevant function expressly allows this.
Any suspected loss, disclosure or misuse of credentials must be reported to us immediately. Affected keys and tokens must be revoked or replaced immediately. The customer remains responsible for activities in their account to the extent that they initiated or culpably enabled them.
7. Permitted and prohibited use
The customer must comply with the Acceptable Use Rules, applicable data protection law and security requirements. In particular, spam, phishing, deception, malware, unlawful content, circumvention of technical safeguards and disproportionate strain on the infrastructure are prohibited.
Invitations and shares must not be used for unsolicited mass communication. Public links may only be passed to people authorised to view the content.
8. Customer data and rights of use
Rights to customer data remain with the customer. For the term of the contract, the customer grants us a non-exclusive, worldwide, royalty-free right to reproduce, store, transfer, technically modify and otherwise process customer data to the extent necessary to provide, secure, troubleshoot and perform the services in accordance with the contract.
The customer warrants that they are entitled to grant these rights and that customer data does not infringe third-party rights. We may block or remove content to the extent necessary to avert a specific danger, comply with legal obligations or end a breach of contract.
9. Availability, maintenance and limits
Unless a service level agreement has been expressly agreed, we do not owe any particular minimum availability. Temporary restrictions may result from maintenance, security measures, disruptions to telecommunications networks, or services of infrastructure and AI providers.
Where possible, we announce significant planned maintenance in advance. We may set reasonable storage, upload, API, agent and security limits where necessary for stability, security or fair use. The limits applicable to a workspace are stated in the service, offer or documentation.
10. Fees and payment
For new subscriptions, Teamwide Workspace for up to 20 people costs €25 per month or €250 per year; for 21–50 people, the price is €50 per month or €500 per year, in each case plus statutory VAT where applicable. Existing subscriptions retain their agreed conditions until a change is made. The first subscription for a new workspace begins with a free 7-day trial. Payment details are entered at checkout. After the trial, the selected paid subscription begins unless cancelled beforehand. Different conditions may be agreed individually. The amount and billing period are shown before ordering. A personal account remains free.
Subscriptions are billed through Stripe and renew for the selected billing period until cancelled. The customer authorises recurring charges to the chosen payment method. Invoices are provided electronically. Management and cancellation are available in the billing settings. Statutory provisions apply in the event of late payment.
11. Intellectual property rights
All rights to Teamwide, its software, user interface, documentation, trademarks and other content provided by us remain with us or our licensors. For the term of the contract, the customer receives a non-exclusive, non-transferable right to use the services within the agreed scope for their own business purposes.
The customer may not reverse engineer or copy the services or circumvent safeguards unless mandatory law permits it. We may use feedback free of charge to improve the services without disclosing the customer's confidential information.
12. Data protection and confidentiality
Our Privacy Policy explains how we process personal data as a controller. For the processing of personal data on behalf of the customer, the DPA is concluded when a Workspace subscription is taken out. Existing individually concluded data processing agreements continue to take precedence. We provide a signed copy on request. The providers used are listed on the Subprocessors page.
Both parties keep the other party's non-public technical, commercial and contractual information confidential and use it only to perform the contract. This excludes information demonstrably in the public domain, lawfully obtained from third parties, independently developed or required to be disclosed under a binding legal order.
13. AI agents, integrations and third parties
We may use qualified subprocessors and infrastructure providers and remain responsible for our contractual obligations. For AI agents, instructions, chat histories and board content accessible for the task may be transferred to the configured agent runtime and selected model provider. The customer decides on use, permissions and the provider keys they supply. The relevant third-party provider's terms also apply. AI results may be incorrect and must be checked before use. No particular result is guaranteed. External applications, embedded content and integrations selected by the customer are subject to their respective terms.
14. Suspension and protective measures
We may temporarily restrict access or individual functions where there are specific indications of contractual breaches, risks to users or infrastructure, compromised permissions, unlawful content or significant payment arrears. Where reasonable, we inform the customer beforehand or immediately afterwards and give them an opportunity to remedy the situation.
In cases of immediate danger, official orders, phishing, malware, spam or impending effects on other customers, we may act without prior notice. Measures are lifted once their reasons cease to apply.
15. Term and termination
A paid subscription may be cancelled in the billing settings with effect at the end of the current paid period. The workspace then becomes read-only: existing members can continue reading boards; editing and new invitations require an active subscription. There is no automatic switch to billing per person. Individually agreed terms and notice periods take precedence.
The right to extraordinary termination for good cause remains unaffected. Good cause includes, in particular, serious or repeated breaches of the acceptable use rules, significant security risks, unlawful use or continued non-payment despite an opportunity to remedy it.
The customer is responsible for exporting required data before the contract ends. Cancelling a subscription alone does not delete the workspace. If an account or workspace is separately deleted, we delete or anonymise data within the agreed periods and those described in the privacy policy, unless statutory retention obligations prevent this. Requirements concerning authorisation, ownership and transfer are displayed in the product.
16. Warranty and liability
We are liable without limitation for intent and gross negligence, injury to life, body or health, under the German Product Liability Act and to the extent of expressly assumed guarantees.
For slightly negligent breaches of essential contractual obligations, our liability is limited to the damage typical of the contract and foreseeable when it was concluded. Essential contractual obligations are those whose fulfilment enables proper performance of the contract and on whose compliance the customer may regularly rely. Liability for slight negligence is otherwise excluded.
These limitations also apply in favour of our governing bodies, employees and vicarious agents. Any contributory fault of the customer, particularly inadequate protection of credentials, unauthorised sharing or missing data backups, must be taken into account in accordance with statutory provisions.
17. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control. These include natural events, war, industrial disputes, widespread network or power outages, official measures and failures of essential communications and cloud infrastructure. Where possible, the affected party informs the other and takes reasonable measures to limit the consequences.
18. Changes to these Terms
We may amend these Terms for objective reasons with future effect, particularly following changes in laws, case law, services or security requirements, provided the amendment does not unreasonably shift the contractual balance to the customer's detriment.
We notify the customer in text form of material changes at least 30 days before they take effect. If the customer objects within this period, they may terminate the affected contract as of the date of the change. The notice explains the right to object, the deadline and the consequences.
19. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the exclusive place of jurisdiction for disputes arising from or in connection with the contract is the registered office of d1 group, e-business GmbH .
The customer's assignment of rights or transfer of the contract requires our prior consent; section 354a of the German Commercial Code (HGB) remains unaffected. If a provision is or becomes invalid, the other provisions remain effective. The invalid provision is replaced by statutory provisions.
Legally significant notices may be sent to the email address stored in the account or to [email protected] , unless a stricter form is required.
